The Rural Product Certificate (CPR) is one of the main instruments used to formalize and guarantee credit operations in agribusiness. However, in the event of default, an issue that might seem merely formal can compromise the very recovery of the credit: CPR registration<\/strong>.<\/p>\n\n\n\n

The issue gained relevance with a recent decision by the Court of Justice of S\u00e3o Paulo. In the judgment of Appeal No. 2386712-12.2025.8.26.0000, the 31st Chamber of Private Law analyzed an execution based on CPRs (Rural Product Certificates) that had not been registered with an entity authorized by the Central Bank and recognized the nullity of the execution.<\/p>\n\n\n\n

The decision applies Article 12 of Law No. 8,929\/1994, according to which the CPR (Rural Product Certificate) and its amendments must be registered or deposited with an entity authorized by the Central Bank of Brazil. For securities issued from August 11, 2022 onwards, registration must occur within 30 business days of issuance or amendment, under penalty of loss of validity and effectiveness.<\/p>\n\n\n\n

The problem arises precisely in the billing process.<\/strong><\/p>\n\n\n\n

During the normal course of operations, the absence of registration may go unnoticed. However, it is in the event of default that the failure becomes most significant.<\/p>\n\n\n\n

If the CPR (Rural Product Certificate) does not meet the legal requirements necessary for its validity and effectiveness, the creditor may face questions regarding the possibility of using it as an extrajudicial enforceable instrument, precisely the method that should provide greater speed and effectiveness to debt recovery.<\/p>\n\n\n\n

This was the central point of the TJSP precedent: recognizing the absence of the registration required by law, the Court ruled out the possibility of proceeding with the execution based on the CPRs.<\/p>\n\n\n\n

For the creditor, therefore, the consequence can be significant. An operation that, in theory, would allow collection through executive proceedings may require the adoption of another procedural strategy, with impacts on timeframe, cost, and probability of recovery.<\/p>\n\n\n\n

Registration of the CPR (Rural Product Certificate) and registration of guarantees require special attention.<\/strong><\/p>\n\n\n\n

Another important point is not to confuse the registration of the CPR (Rural Product Certificate) with the registration of the guarantees linked to the transaction.<\/p>\n\n\n\n

The registration or deposit of the CPR (Rural Product Certificate) with an entity authorized by the Central Bank fulfills the specific requirement of Article 12 of Law No. 8,929\/1994. Pledges, mortgages, fiduciary assignments, and other guarantees, however, must comply with their respective legal requirements for establishment and publication.<\/p>\n\n\n\n

This distinction is especially relevant in debt recovery, because it is not enough to analyze only the formal existence of the guarantee. It is necessary to verify If the title and its guarantees were correctly constituted and registered, and what its position is in relation to other creditors.<\/strong>.<\/p>\n\n\n\n

The Superior Court of Justice's jurisprudence has already highlighted the importance of registration publicity in this context. In REsp No. 2,038,495\/GO, the Third Panel of the STJ linked the registration of transactions involving CPRs (Rural Product Certificates) to legal certainty, objective good faith, and the protection of third-party trust.<\/p>\n\n\n\n

More recent decisions by state courts have also reinforced the importance of prior registration for determining preference among creditors.<\/p>\n\n\n\n

Credit recovery begins with structuring the transaction.<\/strong><\/p>\n\n\n\n

These precedents send a practical message: A debt recovery strategy should not begin only after default.<\/strong>.<\/p>\n\n\n\n

Before granting credit, it is advisable to verify the correct issuance and registration of the CPR (Rural Product Certificate), the establishment and publication of guarantees, and the existence of encumbrances or third-party rights that may affect its effectiveness.<\/p>\n\n\n\n

At the time of collection, this analysis should be redone before legal action is initiated. A prior document review allows for the identification of any weaknesses in the document and the definition of the most appropriate strategy: enforcement, collection, negotiation, strengthening of guarantees, or other measures to preserve assets.<\/p>\n\n\n\n

In transactions involving CPRs, therefore, Formalization, registration, and credit recovery are steps within the same strategy.<\/strong>. The more carefully the operation is structured, the greater the creditor's ability to act quickly and safely in the event of default.<\/p>","protected":false},"excerpt":{"rendered":"
